§ 13. Liability and Indemnification.

The company shall pay all damages and penalties which the city may legally be required to pay as a result of granting this franchise. The company further agrees to hold the city harmless from any claim or damages arising out of the operation of this franchise, the installation, operation or maintenance of the CATV system authorized herein, whether or not any act or omission complained of is authorized, allowed or prohibited by this franchise. In this regard, the company shall, in addition to indemnifying the city, pay all expenses incurred by the city in defending itself with regard to all damages and penalties mentioned above, including out-of-pocket expenses such as attorneys' fees and the reasonable value of any services rendered by the city attorney of the City of Lauderhill or other employees of the City of Lauderhill.
